Terms of Service

1. Who we are

"Helm" is a software-as-a-service product operated by The Auctores ("we", "us", "our"), accessible at helm.theauctores.com. By creating an account ("Workspace"), you agree to these terms. If you don't agree, don't sign up.

2. Your account

  • You're responsible for what happens under your Workspace.
  • Keep your password secure. Don't share it. Tell us promptly if you suspect it's compromised.
  • You must be 18+ to create a Workspace, and authorised to act on behalf of any organisation you sign up for.
  • One human, one account. Sharing logins between teammates violates these terms — invite them to your Workspace instead.

3. Subscription and billing

Helm is offered on two plans: a 7-day free Trial (no card, capped at the limits shown on the pricing page) and Starter ($100 USD per month, or $1,000 USD per year, billed via PayPal Subscriptions).

  • Subscriptions auto-renew until cancelled. Cancel any time from your /billing page or directly in PayPal.
  • Charges are non-refundable except where required by law. Cancelling mid-period gives you access until the period ends.
  • We may change pricing with 30 days' notice. The new price applies to the next renewal.
  • Failed payments suspend the workspace after 7 days. Your data is retained for 30 days, then deleted.

4. Acceptable use

You may not use Helm to:

  • Violate any law or third party's rights
  • Send spam or unsolicited messaging through any feature (Gmail integration, client portal, invitations)
  • Store information you don't have the right to store (medical records, payment cards, government IDs of third parties)
  • Reverse-engineer, scrape, or attempt to bypass our security or rate limits
  • Automate signups or use the trial outside its intended scope
  • Run mining, brute-force, or other resource-abusive workloads via integrations

We can suspend or terminate Workspaces that violate these rules without prior notice. We log enforcement actions and will tell you why if you ask.

5. Your data

Everything you put into Helm — clients, tasks, time entries, credentials, files — remains yours. Your CRUD rights:

  • Read: any time, via the dashboard or CSV export.
  • Update: any time, via the dashboard.
  • Delete (single rows): any time, via the dashboard.
  • Delete (entire workspace): via Settings → Workspace → Delete. Soft-deleted for 30 days, then permanently erased.

We process your data on the legal basis of performing this contract with you. We don't sell it, rent it, or use it to train any AI models. AI features pass your prompts to Anthropic under their data-use terms (we don't allow them to train on your data either). See our Privacy Policy for details.

6. Intellectual property

We own the Helm software, brand, and documentation. You own the data you put into it. You grant us a narrow licence to host, process, and serve your data for the purpose of delivering the service. We don't claim any rights beyond that.

7. Confidentiality and security

We treat the contents of your Workspace as confidential. Our team accesses production data only when necessary to deliver support or investigate an incident, and that access is logged. We protect data in transit (TLS 1.2+) and at rest (AES-256-GCM for the credential vault; provider-managed encryption for everything else). No system is perfectly secure — we'll tell you in writing within 72 hours if a breach affects your data.

8. Service level

We target 99.5% monthly uptime, measured at the marketing domain. We don't currently guarantee an SLA. Status and incident history live at /status. Scheduled maintenance is announced at least 24 hours in advance.

9. Liability

Helm is provided "as is". To the maximum extent permitted by law, our total liability for any claim is capped at the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, or consequential damages — lost profits, lost data, or business interruption — even if we knew they were possible.

10. Termination

Either side can end this agreement at any time. You cancel from /billingor by deleting your workspace. We can terminate for non-payment, material breach, or sustained acceptable-use violation, with reasonable notice except where immediate action is required for security or legal reasons.

11. Governing law

These terms are governed by the laws of India. Disputes go to courts in Bangalore, Karnataka. If a clause is unenforceable, the rest of the agreement still stands.

12. Changes

We'll update these terms when the product or law changes. Material changes get 30 days' notice via email to your Workspace owner. Continued use after the change date means you accept the update.
